Specialized Experience 

 

  • Insurance

Dr.Zhan Hao has utilized his wide-ranging academic research in insurance law and his extensive experience in representing clients in a series of complex insurance matters to help shape the development of Chinese insurance law. This has included: insurance contract law, utilization of insurance funds, corporate governance within an insurance company, trusteeship of enterprise annuities and mergers & acquisitions concerning insurance companies. In 2008, Dr. Zhan Hao lectured on insurance dispute settlement for the official website of the Ministry of Commerce of PRC(MOFCOM).He was the first lawyer to lecture on this official website. Due to his influence in the field of insurance law, Dr. Zhan Hao was invited to lend his expertise and participate in the modification of Chinese Insurance Law, helping the regulatory department draft the insurance company compliance guidelines. Currently, Dr. Zhan Hao is the Secretary-general of the Professional Committee of Economy of the China Bar Association and administers the Insurance Law Forum.

Dr. Zhan Hao retains extensive experience and a strong professional reputation in the field of PRC insurance law, including:        

  • Provided a feasibility demonstration of foreign investment in Beijing Mingya Insurance Brokers Co., Ltd. The project was the largest foreign investment in the Chinese insurance broker field. The project involved; coordinating with an American law firm to provide legal service regarding Mingya's incorporation of an offshore company in the British Virgin Islands; incorporation of a foreign-invested company in China; the transfer of target property and creating a corporate governance structure for a Joint Venture company. Foreign investor and the China Insurance Regulatory Committee (CIRC) praised the project upon completion. The investment attracted nation-wide media attention.
  • Served as legal counsel for the Beijing Branch of Zurich Insurance Co. Ltd., Swiss Reinsurance Company, Greatwall life Insurance Company, Taikang Life Insurance and other insurance companies.
  • Provided legal services to help American insurance companies and Middle Eastern investors purchase shares of Chinese insurance companies
  • Provided legal services to several European insurance companies regarding extended warranty services within China.
  • Assisted six foreign insurers to establish joint ventures and subsidiaries in China.
  • Cooperated with foreign lawyers to develop product liability insurance, director liability insurance and bonds within the Chinese market.
  • Provided legal opinions on matters of prospective work and investment in Africa and the purchase of export credit insurance from Sinosure by China National Petroleum Corporation (CNPC).
  • Provided legal services for the overseas listing of Continental Insurance Brokers Co., Ltd.
  • Represented clients in complicated insurance arbitrations involving aviation insurance, pollution insurance and other property insurances in different jurisdictions.

 

  • Anti-monopoly and Competition Law

As the director of the department of Anti-monopoly Law, Dr. Zhan Hao has a plethora of experience. In 2008, invited as an expert on Anti-monopoly Law, Dr. Zhan Hao delivered a series of lectures to the staff of MOFCOM via their official educational website . The lectures received tremendous praise. One of his books, The Theory of Antimonopoly Law and Commentary on Chinese and Foreign Cases, sponsored by MOFCOM, is regarded as one of the best textbooks of Chinese Anti-monopoly Law. Dr. Zhan Hao also spoke at the symposium regarding the discussion of overseas M & A held by the State Asset Supervision and Administration Commission (SASAC) and at the symposium of Anti-monopoly Law held by the China Bar Association.

Additionally, Dr. Zhan Hao has also been involved in the following:

  • Provided legal services for a Hong Kong based company, regarding its M & A declaration, regulated by the anti-monopoly legislation of the PRC.
  •  Provided legal services for a Chinese listed company during the competition law review of an M & A within the European Community.
  • Provided a strategic analysis for a state-owned enterprise regarding governmental regulation of monopoly agreements, concentration of business operators and administrative monopoly measures.
  • Defended a Chinese state-owned company in private anti-monopoly litigation.

 

  •  International Arbitration and Litigation

As an experienced lawyer, Dr. Zhan Hao has actively participated in international litigation and arbitration. In the field of dispute settlement, his clients include SINOPEC, Huaneng Group, China Telecom, Bank of China and many foreign giants. Dr. Zhan Hao is ranked as a leading Chinese arbitration lawyer by international and domestic ranking institutions.

Notable cases include:

  • Agent for the Agriculture Bank of China, where litigation and enforcement proceedings saved 31 million RMB for the client.
  • Xinjiang Yinhai Property Management Co. Ltd. v Xinjiang Beer Co., Ltd.A cooperation dispute, judged by the Supreme People's Court of the People's Republic of China. The case is one of the few published within the Supreme People's Court Gazette. Reference may be found in the 2001 publication of the Gazette.

Dr. Zhan Hao has represented over twenty Top-500 enterprises in arbitrations concerning Chinese and Hong Kong's enterprises.
